These Terms of Service (“Terms”) are an agreement between you and Kurio, Inc., a Delaware corporation (“Kurio,” “Footprint,” “we,” “us,” or “our”), located at 1178 Broadway, Floor 3, #4321, New York, NY 10001.
Our Privacy Policy explains how we collect, use, disclose, and protect personal information when you use Footprint.
By creating a Footprint account, accepting these Terms, purchasing a subscription, or using the Footprint service, applications, or related features (collectively, the “Service”), you agree to these Terms.
If you do not agree to these Terms, do not use the Service.
Additional terms may apply to particular features, promotions, or purchases. If additional terms conflict with these Terms, the additional terms will control only with respect to the applicable feature, promotion, or purchase.
You must be at least 16 years old to use Footprint.
By creating an account or using the Service, you represent that you meet this minimum-age requirement. If the law where you live requires the consent of a parent or legal guardian for you to use the Service, you represent that you have that consent.
If you use the Service on behalf of another person or organization, you represent that you have authority to do so.
You may sign in to Footprint using supported third-party authentication services, such as Sign in with Apple or Google. We do not receive or store the password for your third-party account.
You are responsible for maintaining the security of your account and for activity that occurs through it. You may not sell, transfer, or give another person access to your Footprint account.
Please contact hello@footprintapp.co promptly if you believe your account has been accessed without authorization.
We may send you administrative, transactional, security, subscription, and other service-related communications electronically, including by email or through the Service.
Footprint is designed to help you preserve, organize, connect, and selectively share the stories, media, information, and other material you choose to add.
Content you add to Footprint is private to your account by default, except when you choose to share it through a feature such as featuring another person.
When you choose to share content with another person, that person may be able to view, save, copy, download, photograph, screenshot, or otherwise retain what you share. Footprint can control access and copies maintained within the Service, but we cannot control copies another person creates or retains outside the Service.
Footprint will evolve over time. We may add, modify, limit, or discontinue features or free-tier limits. If a change materially affects a paid subscription, we will provide any notice, consent, refund, or other remedy required by applicable law.
“Your Content” means photos, videos, audio recordings, journal entries, descriptions, dates, locations, metadata, and other content or information that you upload, create, or provide through Footprint.
You retain your ownership rights in Your Content. Kurio does not acquire ownership of Your Content merely because you use Footprint.
We do not sell Your Content or use Your Content to serve third-party advertising.
You grant Kurio a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, display, process, analyze, format, back up, and otherwise use Your Content only as reasonably necessary to operate and provide the Service to you and to people with whom you choose to share.
This includes processing Your Content through automated systems, including artificial-intelligence systems, where used to provide Footprint features such as identifying relationships, connections, metadata, or insights.
We may permit service providers acting on our behalf to process Your Content to the extent reasonably necessary to provide the Service. Those service providers may use Your Content only as authorized by us and subject to our agreements with them.
This license ends when Your Content or your account is deleted, except that limited copies may remain temporarily in routine backups or may be retained where reasonably necessary to comply with law, resolve disputes, prevent fraud or abuse, or enforce legal rights. Our Privacy Policy provides additional information about retention and deletion.
You are responsible for Your Content. You represent that you have the rights, permissions, and consents reasonably necessary to upload and use Your Content through Footprint and that doing so does not violate applicable law or the intellectual-property, privacy, publicity, or other rights of another person.
Footprint may allow you to feature another person or otherwise share a footprint with another user.
When you do so, the recipient may be able to view or save that footprint within their own Footprint while your account remains active.
Content you originate remains tied to your account. If you delete your account, Your Content is deleted from Footprint, including shared copies of that content appearing in other users' accounts.
Content independently created by another user, including that user's own content or contributions, is not Your Content and may remain.
Footprint also cannot delete screenshots, downloads, photographs, exports, or other independent copies another person has created outside the Service.
If you invite someone who does not yet use Footprint, we may send an invitation at your direction using the contact information you provide. Do not use invitations for spam or unsolicited commercial messages. Only invite people whom you know and reasonably believe would welcome the invitation.
Footprint offers a free tier and may offer paid subscription plans, including Footprint Plus.
The price, billing period, and other purchase terms for your subscription will be displayed to you before you subscribe.
Prices may change from time to time and may vary based on promotions or other applicable factors.
Footprint Plus is an automatically renewing subscription.
Unless you cancel before your renewal date, your subscription will automatically renew for another billing period and Apple will charge the payment method associated with your Apple Account at the applicable renewal price.
Your subscription continues to renew until canceled.
Footprint Plus subscriptions are purchased and billed through the Apple App Store and are also subject to Apple's applicable purchase, billing, and subscription terms.
Apple processes subscription payments. Kurio does not directly process your App Store subscription payment.
You may cancel your subscription at any time through your Apple subscription settings.
Unless applicable law or Apple's applicable terms provide otherwise, cancellation stops future renewals and takes effect at the end of your then-current paid billing period. You may continue using the applicable Plus features until that period ends.
Deleting your Footprint account does not automatically cancel your Apple App Store subscription. If you do not want future subscription charges, you must separately cancel the subscription through Apple.
If Apple is unable to complete a subscription payment, Apple may attempt to process the payment again in accordance with its policies.
If your paid subscription is no longer active, your Footprint account may revert to the then-current free tier. Existing content will remain subject to the limits and features applicable to that account tier.
Subscription prices may change from time to time.
Any price change will apply in accordance with Apple's applicable subscription terms and applicable law. Apple or Kurio will provide any notice or obtain any consent required for the price change to take effect.
Subscriptions purchased through the Apple App Store are billed and administered by Apple.
Refund requests must be submitted through Apple's applicable refund process, and Apple determines whether a refund is approved.
Where available, Footprint may provide a way to begin an App Store refund request from within the Service.
Nothing in this section limits any refund or other rights you may have under applicable law.
You may not use Footprint to:
We may investigate suspected violations, respond to reports, remove or restrict content, or suspend or terminate accounts where reasonably necessary to enforce these Terms, comply with law, protect users, or protect the security and integrity of Footprint.
You may report content or conduct that you believe violates these Terms through any reporting tools provided in the Service or by contacting hello@footprintapp.co.
We respect intellectual-property rights and comply with applicable provisions of the Digital Millennium Copyright Act (“DMCA”).
If you believe content available through Footprint infringes your copyright, please send a written notice to our designated DMCA agent using the contact information published by Kurio and registered with the U.S. Copyright Office.
A copyright notice should include the information required by applicable law, including identification of the copyrighted work, identification and location of the allegedly infringing material, your contact information, the required good-faith and accuracy statements, and your physical or electronic signature.
We may remove or restrict access to content in response to valid notices and maintain a policy of terminating repeat infringers in appropriate circumstances.
Except for Your Content and content owned by other users or third parties, Kurio and its licensors own all rights in the Service, including its software, technology, visual design, organization, interfaces, text, graphics, branding, trademarks, and other materials.
The Footprint™ name and associated branding are trademarks of Kurio, Inc.
These Terms give you a limited right to access and use the Service in accordance with these Terms. They do not transfer ownership of any Kurio intellectual property to you.
If you voluntarily provide suggestions, ideas, or other feedback about Footprint, you give us permission to use that feedback without restriction or compensation to you.
You may stop using Footprint and delete your account at any time through the account-deletion functionality provided in the Service.
When your account is deleted, Your Content is removed from Footprint, including Your Content appearing in footprints shared with or saved by other users, subject to limited legal-retention requirements and routine backup-retention practices described in our Privacy Policy.
Deleting your Footprint account does not automatically cancel an active Apple App Store subscription. If applicable, you must separately cancel that subscription through Apple to prevent future charges.
We may suspend or terminate access to the Service if you materially violate these Terms, if reasonably necessary to comply with law or protect another person, or if necessary to address fraud, abuse, or a serious security risk.
Where reasonably practicable and appropriate, we will provide notice before terminating an account for a remediable violation.
We may also discontinue all or part of the Service. Where reasonably practicable, we will provide advance notice of a material discontinuation.
Sections that by their nature should survive termination—including provisions concerning ownership, intellectual property, disclaimers, limitation of liability, disputes, and general legal terms—will survive.
Footprint may depend on or interact with services provided by third parties, including Apple, Google, hosting providers, authentication providers, and other technology providers. Your use of those third-party services may be subject to their own terms and policies.
If you obtain the Footprint application through Apple's App Store and we have not provided a separate custom end-user license agreement, Apple's Standard Licensed Application End User License Agreement governs your license to the application itself. These Terms separately govern your Footprint account and your use of the Footprint Service.
To the fullest extent permitted by applicable law, the Service is provided “as is” and “as available.”
We disclaim implied warranties to the extent they may lawfully be disclaimed, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that Footprint will always be available, uninterrupted, error-free, or completely secure, or that Your Content can never be lost or corrupted.
Preserving user content is central to Footprint, but no digital system is infallible. Please keep independent copies of photos, recordings, documents, and other content that would be irreplaceable if lost.
Nothing in these Terms excludes any warranty, consumer protection, or other legal right that applicable law does not permit us to exclude.
To the maximum extent permitted by applicable law, Kurio, its affiliates, officers, directors, employees, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenues, goodwill, business opportunities, or data, arising out of or relating to the Service or these Terms.
To the maximum extent permitted by applicable law, Kurio's aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of:
These exclusions and limitations do not apply to fraud, fraudulent misrepresentation, gross negligence, willful misconduct, death or personal injury caused by negligence where applicable, or any other liability that applicable law does not permit to be excluded or limited.
Nothing in these Terms limits mandatory rights or remedies available under applicable data-protection or consumer-protection law.
Some jurisdictions do not permit certain exclusions or limitations of liability. In those jurisdictions, these provisions apply only to the maximum extent permitted by law.
Before filing a lawsuit arising from these Terms or the Service, you and Kurio agree to make a good-faith effort to resolve the dispute informally.
You may send us written notice at hello@footprintapp.co describing the issue and the resolution you are seeking. We may send a corresponding notice to the email address associated with your Footprint account.
Unless resolving the matter sooner, each side will allow up to 30 days after receiving the notice for informal resolution before commencing a lawsuit.
This informal-resolution requirement does not prevent either side from seeking urgent injunctive or other emergency relief, and it does not require a party to allow a legal claim to expire because of an applicable limitation period.
Except where mandatory law provides otherwise, these Terms and disputes arising from them are governed by the laws of the State of New York, without regard to its conflict-of-laws principles.
Except where mandatory consumer law provides otherwise, the state and federal courts located in New York County, New York will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.
If you are a consumer, you retain any mandatory right under the law where you live to rely on your local consumer protections or bring a claim in another forum.
These Terms do not require arbitration and do not contain a class-action waiver.
We may update these Terms from time to time.
When we do, we will post the revised Terms and update the effective date. If a change is material, we will provide reasonable notice through the Service, by email, or through another appropriate method.
Changes will apply prospectively from their effective date. Where applicable law requires your affirmative consent to a change, we will obtain that consent.
Changes to subscription pricing and renewal terms are also subject to the notice, consent, cancellation, and other requirements described in Section 7 and applicable law.
If you continue using the Service after revised Terms take effect, that continued use constitutes acceptance of the revised Terms to the extent permitted by applicable law.
These Terms, together with any additional terms you expressly accept for particular Footprint features or purchases, constitute the agreement between you and Kurio concerning your use of the Service.
If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
Kurio's failure to enforce a provision of these Terms does not waive its right to enforce that provision later.
You may not assign these Terms without our prior written consent. Kurio may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, sale of assets, or operation of law, subject to applicable privacy and consumer-protection requirements.
Headings are provided only for convenience and do not affect interpretation of these Terms.
